Cette check-list pr\u00e9sente les \u00e9tapes juridiques essentielles pour les entreprises am\u00e9ricaines qui entrent sur le march\u00e9 br\u00e9silien.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">1. Choisir la bonne forme de soci\u00e9t\u00e9<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">La plupart des entreprises am\u00e9ricaines optent pour une <strong>Sociedade Limitada (Ltda.)<\/strong>, comparable \u00e0 une LLC. Elle exige moins de formalit\u00e9s qu\u2019une soci\u00e9t\u00e9 anonyme (S.A.) tout en limitant la responsabilit\u00e9.<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Exigence :<\/strong> Il faut en g\u00e9n\u00e9ral au moins deux \u00ab associ\u00e9s \u00bb (quotistas), qui peuvent \u00eatre des entit\u00e9s \u00e9trang\u00e8res.<\/li>\n\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\">2. Nommer un repr\u00e9sentant l\u00e9gal<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Comme vous n\u2019\u00eates pas physiquement pr\u00e9sent, vous <em>devez<\/em> nommer un repr\u00e9sentant l\u00e9gal (Administrador) r\u00e9sidant au Br\u00e9sil. Cette personne dispose de pouvoirs et d\u2019une responsabilit\u00e9 importants.<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Recommandation :<\/strong> Ce r\u00f4le comporte des risques. Pr\u00e9voyez une procuration (Procura\u00e7\u00e3o) solide, r\u00e9dig\u00e9e par un conseil transfrontalier exp\u00e9riment\u00e9, pour limiter ses pouvoirs \u00e0 des actes pr\u00e9cis.<\/li>\n\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\">3. Obtenir votre CNPJ (num\u00e9ro fiscal)<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Le CNPJ est l\u2019\u00e9quivalent, pour une entreprise, du num\u00e9ro de s\u00e9curit\u00e9 sociale. Sans lui, impossible d\u2019ouvrir un compte bancaire, de signer un bail ou d\u2019embaucher.<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>D\u00e9lais :<\/strong> <strong>Cr\u00e9er une entreprise au Br\u00e9sil<\/strong> s\u2019acc\u00e9l\u00e8re, mais peut encore prendre 30 \u00e0 45 jours. Anticipez.<\/li>\n\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\">4. Vous enregistrer aupr\u00e8s de la Banque centrale (RDE-IED)<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Pour faire entrer l\u00e9galement des capitaux d\u2019investissement <em>au<\/em> Br\u00e9sil (et rapatrier ensuite vos b\u00e9n\u00e9fices <em>\u00e0 l\u2019\u00e9tranger<\/em>), vous devez enregistrer votre investissement direct \u00e9tranger (IDE) aupr\u00e8s de la Banque centrale du Br\u00e9sil.<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Point critique :<\/strong> Une erreur \u00e0 cette \u00e9tape peut bloquer vos fonds dans le pays.<\/li>\n\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\">5. Le licenciement libre (\u00ab at-will employment \u00bb) n\u2019existe pas.
